Welcome to Clinity Technologies LLC ("Company", "we", "us", or "our"). These Terms and Conditions ("Terms") govern your use of our website located at clinity.ai (the "Site") and our technical execution and strategic partnership services (the "Services").

By accessing our Site or engaging our Services, you agree to be bound by these Terms. If you do not agree, please do not use our Site or Services.

1. Services and Scope

Clinity Technologies LLC provides strategic technology execution partnerships, including but not limited to senior-led engineering, data and backend infrastructure, cloud platform management, and business intelligence solutions. Our Services are designed for technical consultancies, fractional CTOs, and product-led companies.

The specific scope, deliverables, and timelines for any project will be governed by a separate Statement of Work (SOW) or Service Agreement signed by both parties.

2. Business Relationship

Clinity operates as an independent contractor. Depending on the chosen collaboration model (Delivery Partner, White-Label, or Hybrid), the strategic ownership and client relationships typically remain with the Partner unless otherwise specified in writing.

3. Intellectual Property

Our Property: All content, trademarks, logos, and software on the Site are the property of Clinity Technologies LLC and are protected by intellectual property laws.

Work Product: Unless otherwise agreed in a specific SOW, the ownership of code, architectures, or systems developed specifically for a client will be transferred to the client upon full payment of the agreed fees.

4. Payments and Fees

Clients agree to pay all fees specified in the relevant SOW or invoice. All payments are non-refundable unless otherwise stated. Late payments may be subject to interest charges or suspension of Services.

5. Confidentiality

Both parties agree to protect and keep confidential all non-public information disclosed during the course of the business relationship, including technical architectures, business strategies, and proprietary data.

6. Disclaimer of Warranties

Our Services are provided "as is" and "as available." While we strive for excellence in execution, Clinity Technologies LLC does not guarantee that the systems developed will be error-free or uninterrupted. We disclaim all warranties, express or implied, including warranties of merchantability or fitness for a particular purpose.

7. Limitation of Liability

To the maximum extent permitted by law, Clinity Technologies LLC shall not be liable for any indirect, incidental, special, or consequential damages, including loss of profits, data, or business opportunities, arising out of or in connection with the use of our Services. Our total liability for any claim shall not exceed the amount paid by the client for the specific service giving rise to the claim.

8. Indemnification

You agree to indemnify and hold harmless Clinity Technologies LLC and its members (including Cristian Pinela Paniagua) from any claims, damages, or expenses arising from your breach of these Terms or your use of the Services in violation of third-party rights.

9. Governing Law and Jurisdiction

These Terms are governed by and construed in accordance with the laws of the State of Wyoming, USA, without regard to its conflict of law principles. Any legal action or proceeding arising under these Terms shall be brought exclusively in the courts located in Natrona County, Wyoming.

10. Termination

We reserve the right to terminate or suspend access to our Services or Site at our sole discretion, without notice, for conduct that we believe violates these Terms or is harmful to our business interests.
